Updates to Bylaws

In the last President’s message I mentioned some of the changes that have been made to the operations of the club. The most significant change that has been made is moving all club communications to a digital format. This change allowed operational costs to be reduced significantly, which in turn enabled the club to offer free membership. In order to make these changes permanent and continue to offer free membership the Bylaws must be updated. Below you will find the proposed updated Bylaws and newly created Policy Manual. They will be voted on at the Annual Meeting on September 30. Please review these documents. If you have questions or comments, you may post them in the comment section or contact one of the club Officers directly.

The Chronometer Club



Sec. 1 - Membership is open to those who are over the age of 18 years.  Application for membership constitutes agreement to the membership policies as stated in the policies document of the organization.

Sec. 2 - All Members are subject to membership privilege revocation, without a refund of dues, upon exhibiting conduct that is deemed to be unacceptable to the membership as determined by the Executive Committee.  Participation in the forums is subject to the oversight of a designated moderator or administrator.  Appeals may be made to the Executive Committee.  Any decision of the Executive Committee can be appealed to the membership at the annual meeting.

Sec. 3 - All members agree, as a condition for membership, to conduct themselves in a professional manor and also...

  • Enhance the image of The Chronometer Club and it's members.
  • Elevate respect for the professional watchmaker by personal example
  • Preserve the integrity of Chronometer Watches

Members are encouraged to form respectful relationships.  While spirited discussions are considered helpful, failure to respect each other as persons is unacceptable and therefore everyone is required to refrain from the use of profanity or personal accusations in the forums.  We request any complaint about the actions of another member be directed to the President or Executive Committee by a written communication.  Complaints about any member may be forwarded in writing to the Secretary.

Sec. 3 – All members whose dues are current shall be entitled to vote on all issues brought before the organization.


Sec. 1 – The amount of dues and membership levels will be as stated in the Policy Document.

Sec. 2 – No member will be entitled to any refund of dues upon severing connections with this organization.


Sec. 1 – All officers shall serve for a term of one year unless re-elected at the annual meeting.  The President shall not be eligible to serve for more than three consecutive terms.  

Sec. 2 – All officers shall be selected from the nominees presented from the floor at the Annual Meeting.  A majority vote of the members present is required for election.

Sec. 3 – The term of all officers shall begin after their election and continue to the following annual meeting.

Sec. 4 – The President shall be the chief executive officer of the organization, shall preside over all meetings, and shall appoint committees as needed.

Sec. 5 – The Vice-President shall perform all duties of the President during his or her unavailability or incapacitation.  The Vice-President shall also assume the office of President until the next annual meeting, in the event of a continuing vacancy.

Sec. 6 – The Secretary shall keep the minutes of all meetings, maintain the membership files, and mail newsletters and all notices to the members.

Sec. 7 – The Treasurer shall keep complete and accurate records of all receipts and expenditures of the organization, shall pay all expenses when due, and shall provide a financial report at each annual meeting.

Sec. 8 - The Vice-Secretary shall perform all duties of the Secretary during his or her unavailability or incapacitation.  The Vice-Secretary shall also assume the office of the Secretary until the next annual meeting, in the event of a continuing vacancy.

Sec. 9 – The President, Vice-President, and Technical Director shall be able to prove, prior to their nomination, that their primary vocation is, or was, watchmaking and that they have a current industry-recognized certification.


Sec. 1 – A membership meeting and technical seminar shall be held annually.  The location and date shall be determined by the Executive Committee.

Sec. 2 – Ten percent of the current membership, or a minimum of ten members, shall be considered a quorum for the election of officers and/or conducting the business of this organization.


This organization shall be an affiliate chapter of the “American Watchmakers-Clockmakers Institute”.


Sec. 1 - The Chronometer Club Policy Document represents the current policies as adopted by the Executive Committee.

Sec. 2 – These policies may not conflict with the Constitution or Bylaws and are displayed as an attachment to  the Constitution and Bylaws.

Sec. 3 – Other club practices may be stated elsewhere but the policies in the Policies Document have been adopted by the Executive Committee as the official policies and all other practices must agree with the intent of these official policies.

Sec. 4 – The official policies may be changed by a majority vote of the Executive Committee at any time in order to provide effective governance of the club. 

The Chronometer Club Policy Document

Article I – Membership Policies

Sec. 1 – Persons interested in becoming a member of this organization are required to submit a membership application.

Sec. 2 – Persons making application for membership will be subject to review by the officers to determine if they are engaged in the service and repair of chronometer watches, and have a genuine interest in helping the club.

Sec. 3 – Persons whose application is accepted, dues are current, and membership privileges have not been revoked will receive the following member privileges.

1.            Access to website and all member privileges including those sections available to members only. This includes the Member Directory, Constitution, Bylaws, and Policies Document and various forums etc.

2.            A numbered membership card when requested.

3.            A wall certificate when requested.

4.            A periodic bulletin, including news and technical information

Article II – Dues

Sec. 1 – Membership Levels are indicated on the website.  The current dues levels are:

1.            Advertiser – complementary year to year upon placing substantial advertisement in the Newsletter.

2.            Honorary – no dues based on service to the organization.  This includes the Officers, Editor and Technical Director.

Article III – Directors

Sec. 1 – The Technical Director is appointed by the President subject to approval of the Executive Committee and is responsible for reviewing all technical articles and published information for technical correctness.

Sec. 2 -   The Editorial Director “Editor” is appointed by the President subject to approval of the Executive Committee and is responsible for the content, appearance, and timely publication of the Newsletter.

Sec. 3 – The Website Director “Webmaster”  is appointed by the president subject to approval of the Executive Committee and is responsible for the function, content and appearance of the Website.  The “Webmaster” will not be responsible for the membership records or financial data managed on the website as these are the duties of the Secretary and Treasurer respectively.

Sec 4 – Forum Director “Forum Administrator”  is appointed by the president subject to approval of the Executive Committee and is responsible for the coordination or privileges on the Yahoo E-group and website forums.  The “Forum Administrator” may appoint as many moderators as needed.  Moderators have the authority to discipline or eject members from forums for misconduct subject to review of the Forum Administrator.

Article IV – Distribution Of Member Information

Sec. 1 – The names, mailing addresses, phone and fax numbers, and e-mail addresses of all current and paid members of this organization shall be available to all members whose dues are current.  This information is for the purpose of sharing information and discussing problems.

Sec. 2 – The mailing list of the membership, along with contact information, shall not  be given or sold to anyone, with the exception of the “American Watchmakers-Clockmakers Institute”

Article V – Forum Guidelines

Sec. 1 – A technical focus and professionalism are objectives of “The Chronometer Club”.  The primary Technical Forum shall be limited to topics that are technical and/or educational in nature, with the primary focus of the inquiries and discussions being the professional support and enhancement of the bench watchmaker.

Sec. 2 – Forum topics such as parts and equipment for sale, improving the club, or current events that are not technical in nature but are considered beneficial may be created by the Webmaster and will be kept separate from the Technical Forum. 

Sec. 3 – Topics that degrade slander or otherwise diminish the profession, the horologist, or the industry, shall be reserved for avenues other than club-sponsored outlets.

Sec. 4 – Postings shall be identified by the given and surname (first and last name) of the individual making the post.  Anonymous posters may be temporarily suspended from the discussion group.

Sec. 5 – Members may subscribe to each forum as desired and only subscribed members will receive notices of postings.

Sec. 6 – Photos and files may be uploaded for sharing with other members.  These files will be subject to approval of the Forum Administrator or Moderator and must be relative to the club activities.
